Welcome to Neuratel AI. These Terms of Service ("Terms") govern your access to and use of our website, AI agent services, and related offerings (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Definitions
- "Company", "we", "us", "our" refers to Neuratel AI
- "Client", "you", "your" refers to the individual or entity using our Services
- "AI Agent" refers to our artificial intelligence-powered virtual agents
- "Services" includes our website, AI agents, software, and related services
- "Agreement" refers to any custom services agreement or order form executed between parties
2. Acceptance of Terms
By using our Services, you represent that:
- You are at least 18 years of age
- You have the legal capacity to enter into binding contracts
- You will comply with these Terms and all applicable laws
- All information you provide is accurate and current
3. Description of Services
Neuratel AI provides custom AI agent solutions that include:
- Custom AI Agent Development: Tailored AI agents designed for your specific business needs
- Implementation: 5-day rapid deployment process
- Integration: Connection with your existing systems and workflows
- Ongoing Support: Continuous maintenance, monitoring, and optimization
- Training: User training and documentation
Specific service details, deliverables, and timelines are defined in your custom Agreement.
4. Custom Quotes and Service Agreements
4.1 Quote Process
All services are provided on a custom quote basis. Our process includes:
- Initial consultation to understand your requirements
- Custom proposal with detailed scope, timeline, and pricing
- Formal Agreement outlining deliverables and terms
- No services commence until Agreement is executed by both parties
4.2 No Long-Term Contracts Required
We do not require long-term contracts. Services can be provided on a project basis or with flexible ongoing support arrangements as defined in your Agreement.
5. Payment Terms
5.1 Pricing
All pricing is custom and provided in your quote. Pricing typically includes:
- Development and implementation fees
- Integration and customization costs
- Training and onboarding
- Ongoing support and maintenance (if applicable)
5.2 Payment Schedule
Payment terms are specified in your Agreement and may include:
- Upfront deposit upon Agreement execution
- Milestone-based payments during development
- Monthly or quarterly payments for ongoing services
5.3 Late Payments
Late payments may result in suspension of services and/or late fees as specified in your Agreement. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum allowed by law, whichever is less.
5.4 Refunds
Refund policies are outlined in your specific Agreement. Generally, development work completed is non-refundable. For ongoing services, you may cancel with appropriate notice as specified in your Agreement.
6. Intellectual Property Rights
6.1 Our Property
We retain all rights to:
- Neuratel AI platform, technology, and infrastructure
- AI models, algorithms, and methodologies
- Website content, design, and branding
- Pre-existing intellectual property and improvements thereto
6.2 Your Data
You retain all rights to your data and content. By using our Services, you grant us a limited license to use your data solely to provide and improve our Services. We do not sell or share your data except as outlined in our Privacy Policy.
6.3 Custom Deliverables
Rights to custom AI agents and deliverables are specified in your Agreement. Typically, you receive a license to use the custom agent, while we retain the underlying technology and platform rights.
7. Client Responsibilities
As a client, you agree to:
- Provide accurate and timely information required for service delivery
- Designate authorized representatives for decision-making
- Provide reasonable access to systems and resources as needed
- Comply with all applicable laws and regulations
- Not misuse or attempt to reverse-engineer our technology
- Maintain confidentiality of access credentials
- Use Services only for lawful business purposes
8. Prohibited Uses
You may not use our Services to:
- Violate any laws, regulations, or third-party rights
- Transmit harmful, fraudulent, or offensive content
- Interfere with or disrupt our Services or servers
- Attempt unauthorized access to our systems
- Use our Services for illegal or unethical purposes
- Compete with or copy our Services
- Remove or obscure any proprietary notices
9. Service Level and Availability
9.1 Uptime
We strive to maintain high availability of our Services. Specific uptime guarantees and service level agreements (SLAs) are provided in your custom Agreement.
9.2 Maintenance
We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice when necessary to protect the security or functionality of our Services.
9.3 Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our Services with reasonable notice. Material changes to your specific services will be communicated per your Agreement.
10. Warranties and Disclaimers
10.1 Our Warranties
We warrant that:
- Services will be performed with professional skill and care
- We have the right to provide the Services
- Services will substantially conform to specifications in your Agreement
10.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN YOUR AGREEMENT:
- SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE"
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
- WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION
- WE ARE NOT RESPONSIBLE FOR THIRD-PARTY INTEGRATIONS OR SERVICES
10.3 AI-Specific Disclaimers
AI technology has inherent limitations. We do not guarantee:
- 100% accuracy of AI agent responses
- Specific performance metrics without documented testing
- Compatibility with all possible use cases or scenarios
You are responsible for reviewing and validating AI agent outputs for your specific use case.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
11.1 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Lost profits or revenue
- Business interruption
- Loss of data or goodwill
- Cost of substitute services
11.2 Liability Cap
Our total liability for any claims arising from or related to your use of our Services shall not exceed the amounts paid by you to us in the 12 months preceding the claim, or $10,000, whichever is greater.
11.3 Exceptions
Nothing in these Terms shall limit liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Gross negligence or willful misconduct
- Other liabilities that cannot be limited by law
12. Indemnification
You agree to indemnify, defend, and hold harmless Neuratel AI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of our Services
- Your violation of these Terms or applicable laws
- Your violation of third-party rights
- Your data or content
13. Confidentiality
Both parties agree to maintain confidentiality of proprietary and sensitive information exchanged during the provision of Services. Specific confidentiality terms are outlined in your Agreement.
We will not use your confidential information for any purpose other than providing Services, and we implement reasonable security measures to protect it.
14. Term and Termination
14.1 Term
These Terms remain in effect while you use our Services. Specific project or service terms are defined in your Agreement.
14.2 Termination by You
You may terminate Services per the terms of your Agreement, typically with written notice. Prepaid fees for completed work are non-refundable.
14.3 Termination by Us
We may terminate or suspend Services immediately if:
- You breach these Terms or your Agreement
- Payment is overdue by more than 30 days
- We are required to do so by law
- Continuing to provide Services creates security or legal risks
14.4 Effect of Termination
Upon termination:
- Your access to Services will cease
- Outstanding fees become immediately due
- We will provide reasonable assistance with data export (fees may apply)
- Confidentiality obligations survive termination
15. Dispute Resolution
15.1 Negotiation
In the event of a dispute, parties agree to first attempt to resolve the matter through good-faith negotiation.
15.2 Arbitration
If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Sheridan, Wyoming, USA.
15.3 Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class arbitrations.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Wyoming.
17. Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, acts of government, labor disputes, internet failures, or other force majeure events.
18. General Provisions
18.1 Entire Agreement
These Terms, together with your specific Agreement and our Privacy Policy, constitute the entire agreement between parties.
18.2 Amendments
We may update these Terms from time to time. Material changes will be communicated via email or website notice. Your continued use of Services after changes constitutes acceptance.
18.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
18.4 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
18.5 Assignment
You may not assign these Terms or your Agreement without our written consent. We may assign our rights and obligations to an affiliate or in connection with a merger or sale.
